الالتزامات / Obligations
- تصميم وإدارة المنصة وضمان تشغيلها بطريقة احترافية.
- توفير خدمة التصوير والتواصل المحقق للغاية من التعاقد على ان يلتزم الطرف الثاني بتوفير العينات للمنتج او صوره.
- عرض المنتجات التي يقدمها الطرف الثاني وفقًا للسياسات المتفق عليها.
- تحويل قيمة المبيعات للطرف الثاني وفقًا للشروط المالية المحددة.
- يوافق الطرف الأول على تقديم خدماته للطرف الثاني وفقاً لنشاطه التجاري وآلية العمل لديه وذلك خلال شهر من تاريخ سداد رسم التسجيل وانشاء حساب خاص بالطرف الثاني عبر المنصة الالكترونية، كما يلتزم ببذل العناية اللازمة للحفاظ على المنتجات المسلمة اليه ما لم يعود سببها الى الطرف الثاني او ظرف قهري.
- يلتزم الطرف الثاني بسداد الرسوم المقررة بمجرد التوقيع على العقد وبحد أقصاه يومين عمل، ويلتزم بكافة الرسوم والمصروفات الإدارية، كما يلتزم بتزويد الطرف الأول بكافة البيانات والمعلومات التي يتطلبها العمل، كما يلتزم بتزويد الطرف الأول بعدد كاف من المنتجات تودع بمخازن الطرف الأول قبل ادراجها على المنصة وطرحها للبيع – مع استكمال النواقص وفقاً لطلب الطرف الأول – التي تمكنه من تقديم الخدمة بشكل مثالي وذلك عقب التعاقد مباشرة وتظل تحت تصرف الطرف الأول على ان ترد الى الطرف الثاني في حالة عدم البيع عبر المنصة بمدة يقدرها حسبما يراه الطرف الأول من تاريخ عرضها او في حال تلفها لعيب الصنع او لظرف قهري لا يد للطرف الأول فيه ويتحمل الطرف الثاني مصاريف ورسوم الارتجاع.
- تزويد الطرف الأول بالمنتجات بجودة عالية وبكميات كافية ويجعلها تحت يد الطرف الأول.
- تحمل مسؤولية أي عيوب أو مشاكل في المنتجات.
- دفع جميع الرسوم والعمولات المتفق عليها.
- المنتجات التي لا يوجد عليها طلب بنسبة يقدرها الطرف الأول حسب رؤيته ولمدة استمرت ثلاثة اشهر بذات النسبة فيحق للطرف الأول رد تلك المنتجات للطرف الثاني وإزالتها من المنصة لهذا السبب ويتحمل الطرف الثاني مصاريف ورسوم الارتجاع.
- Design and manage the platform and ensure its operation in a professional manner.
- Providing the photography and communication service that achieves the purpose of the contract, provided that the second party is committed to providing samples of the product or its images.
- Display the products provided by the second party in accordance with the agreed policies.
- Transfer the value of sales to the second party in accordance with the specified financial terms.
- The first party agrees to provide its services to the second party in accordance with its commercial activity and work mechanism within one month from the date of payment of the registration fee and creating a special account for the second party via the electronic platform, and it is also committed to exercising the necessary care to preserve the products delivered to it unless the reason is due to the second party or a force majeure.
- The second party is obligated to pay the prescribed fees upon signing the contract and within a maximum of two working days, and is obligated to pay all administrative fees and expenses. It is also obligated to provide the first party with all data and information required for the work. It is also obligated to provide the first party with a sufficient number of products to be deposited in the first party’s warehouses before listing them on the platform and offering them for sale – with the completion of any deficiencies according to the first party’s request – that enable it to provide the service in an ideal manner immediately after contracting. They remain at the disposal of the first party, provided that they are returned to the second party in the event of non-sale through the platform within a period determined by the first party from the date of their display, or in the event of their damage due to a manufacturing defect or a force majeure over which the first party has no control. The second party shall bear the expenses and fees of return.
- Providing the first party with products of high quality and in sufficient quantities and placing them in the hands of the first party.
- Bearing responsibility for any defects or problems in the products.
- Paying all agreed fees and commissions.
- Products for which there is no demand at a rate determined by the first party according to its opinion and for a period of three months at the same rate, the first party has the right to return those products to the second party and remove them from the platform for this reason, and the second party shall bear the costs and fees of the return.
نطاق الخدمات / Scope of Services
- يلتزم الطرف الأول بتقديم منصة إلكترونية لعرض وبيع منتجات الطرف الثاني.
- يلتزم الطرف الثاني بتوفير المنتجات بالمواصفات والجودة المتفق عليها.
- يتم تحديد المنتجات المُدرجة في ملحق العقد رقم (1).
- The first party is committed to providing an electronic platform to display and sell the products of the second party.
- The second party is committed to providing the products with the agreed specifications and quality.
- The products included in the contract appendix No. (1) are specified.
المسائل المالية Financial Matters
- يسدد الطرف الثاني للطرف الأول مبلغ وقدره (1500 درهم) الف وخمسمائة درهم على حساب الطرف الأول وذلك نظير رسوم اشتراك الطرف الثاني بالمنصة المملوكة للطرف الأول.
- يخصم من قيمة المبيعات للمنتجات الخاصة بالطرف الثاني نسبة 15 % من قيمتها الشرائية وقت البيع لصالح الطرف الأول نظير العمولة والخدمة المقدمة من الطرف الأول.
- يحق للطرف الثاني استلام قيمة المبيعات في نهاية كل شهر ميلادي عبر التحويل البنكي عبر حساب الطرف الأول الى الطرف الثاني نظير خصم رسوم التحويل من اجمالي المبلغ المحول.
- The second party shall pay the first party an amount of (1,500 dirhams) one thousand five hundred dirhams, to the account of the first party, in exchange for the second party’s subscription fees to the platform owned by the first party.
- 15% of the purchase value of the products sold by the second party at the time of sale shall be deducted from the sales value of the products sold by the first party in exchange for the commission and service provided by the first party.
- The Second Party shall have the right to receive the sales value at the end of each calendar month via bank transfer from the First Party’s account to the Second Party, in exchange for deducting the transfer fee from the total transferred amount.
